Among the many significant changes hong Kong has undergone over the past three decades is the gradual and continuous emergence of distinctive local customary law. The common law of contracts is no exception, and it is now increasingly possible to speak of a Hong Kong contract law that is not just a facsimile of English common law. Formerly known as the “Law of Contract in Hong Kong: Cases and Commentary”, the seventh edition aims to promote understanding and appreciation of Hong Kong contract law in a way that is relevant to students and practitioners. This edition is not primarily a casebook, which results in a change in the title of the work. It contains many original commentaries and analyses that examine the emerging similarities and differences between jurisdictions, paying particular attention to the continued development of the law in Hong Kong. The book also provides a carefully curated and edited selection of the most important or descriptive authorities in contract law, primarily from Hong Kong, England and the wider common law world. The seventh edition comprehensively updates contract law in Hong Kong and includes recent developments in England and other common law jurisdictions that are likely to influence the future direction of Hong Kong law. Some of the most important changes reflected in this edition concern the law of contractual intent, the interpretation of contract terms, correction, economic coercion and the abolition of restrictive agreements. It also includes a re-evaluation of the “Hong Kong estoppel” as a type of promissory note estoppel to replace the exclusive estoppel, in certain circumstances. Contract Law in Hong Kong is the most comprehensive contemporary textbook on Hong Kong contract law, written primarily for law students. This third edition covers all the basic concepts of the contract in a user-friendly style and uses numerous case studies, including 110 new cases reported since the publication of the second edition.

The first two chapters present the main topics and explain the various sources of law in Hong Kong. The following thirteen chapters deal with the conclusion of a valid contract, its content, the “troublesome” elements, the consequences of illegality, the termination of contracts and remedies in the event of breach of contract. The book concludes with an explanation of the doctrine of privacy and the legal reform of the practice of privacy in Hong Kong. In its seventh edition, Foundations of Contract Law in Hong Kong is an indispensable text for contract law students, as well as for practitioners and analysts. It examines all aspects of contract law with reference to relevant laws and cases in Hong Kong and international jurisdictions. Written by one of the leading experts, its clear prose, detailed analysis and local orientation ensured its continued popularity as a textbook. Michael J. Fisher (LLB, MA, Barrister of Gray`s Inn) has been teaching contract law in England and Hong Kong for over 40 years.

He is currently a professional consultant at the Faculty of Law of the Chinese University of Hong Kong. Desmond G. Greenwood (BSc, LLB, Hong Kong High Court Advocate, New South Wales Supreme Court Legal Practitioner) is both a jurist and a practitioner. He is currently a lecturer in law at the University of Hong Kong. Although most developments in this area have been common law developments, recent – and late – legislative changes in Hong Kong regarding contract confidentiality have been addressed, although case law on this subject is still lacking.
